This Provider Agreement ("Agreement") governs the participation of automotive service providers ("Provider," "you," or "your") in the Drive Service Network platform operated by Drive Commerce Inc. ("Drive Service Network," "we," "us," or "our"). By applying to or participating in the Drive Service Network, you agree to be bound by this Agreement.
Providers participating in the Drive Service Network are independent contractors, not employees, agents, or partners of Drive Commerce Inc. or Drive Service Network. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between Drive Service Network and Provider.
To participate in the Drive Service Network, Provider must maintain a valid business license in all states where services are offered, carry adequate liability insurance for automotive service operations, employ or contract with appropriately certified technicians for the services offered, maintain a clean business record and pass background screening, and execute this Provider Agreement.
Provider agrees to deliver services in a professional, workmanlike manner consistent with industry standards, provide accurate and transparent pricing to clients, honor all service commitments made through the Platform, maintain all required licenses, certifications, and insurance throughout participation, respond to service requests in a timely manner, and maintain a professional and respectful relationship with clients.
Provider agrees to maintain a minimum customer satisfaction rating as determined by Drive Service Network, respond to service requests within the timeframes established by Drive Service Network, report any material changes to business status, licensing, or insurance, and comply with all Drive Service Network policies and guidelines as updated from time to time.
Provider agrees to the fee structure established by Drive Service Network, which will be communicated separately. Drive Service Network reserves the right to modify fees with reasonable notice to Providers. Provider is responsible for all taxes on income earned through the Platform.
Provider grants Drive Service Network a non-exclusive license to use Provider's business name, logo, and service information for the purpose of operating the Platform and marketing the Drive Service Network. Drive Service Network retains all rights to the Platform, its technology, and its brand.
Provider agrees to maintain the confidentiality of client information received through the Platform and to use such information only for the purpose of fulfilling service requests. Provider may not use client information for marketing or other purposes without explicit client consent.
Either party may terminate this Agreement with 30 days written notice. Drive Service Network may terminate this Agreement immediately for cause, including violation of this Agreement, failure to maintain required credentials, or conduct that harms clients or Drive Service Network's reputation.
Drive Service Network's liability to Provider is limited to the fees paid to Drive Service Network in the three months preceding any claim. Drive Service Network is not liable for any indirect, consequential, or punitive damages.
This Agreement is governed by the laws of the State of Florida. Disputes shall be resolved through binding arbitration in Florida, except that either party may seek injunctive relief in court.
